• Interfere with or disrupt the Services or servers or networks connected to the Services

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software
• Create derivative works based on our intellectual property without our express written consent
• Distribute, sell, lease, rent, or transfer your account to others

• Harass, abuse, harm, or advocate harassment, abuse, or harm of another person or group

Violation of any of the above may result in immediate termination of your account and access to our Services, and may subject you to legal action.

Our trademarks, service marks, logos, and trade dress may not be used in connection with any product or service without our prior written consent. All other trademarks, service marks, and logos used in the Services are the trademarks, service marks, or logos of their respective owners.

You acknowledge that you do not acquire any ownership rights by using the Services. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

In-App Purchases and Virtual Goods

Some of our Services may allow you to purchase virtual goods, such as in-game currency, items, or premium features ("Virtual Goods"). All purchases of Virtual Goods are final and non-refundable, except as required by law or as otherwise stated by us.

Virtual Goods have no monetary value and cannot be redeemed for cash. You do not own Virtual Goods; rather, you receive a limited license to use them within our Services. Virtual Goods may be lost if your account is terminated or suspended, or if we discontinue the applicable Service.

All purchases are processed by third-party payment processors. You agree to comply with their terms and conditions. We are not responsible for any issues related to payment processing.

You may not transfer, sell, or trade Virtual Goods to other users or third parties, except as expressly permitted by us. Any attempt to do so may result in immediate termination of your account.

User Content

Our Services may allow you to post, upload, or submit content, including but not limited to text, images, videos, and other materials ("User Content"). You retain ownership of any intellectual property rights that you hold in User Content.

By posting, uploading, or submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the Services, including for promotional purposes.

You represent and warrant that:

• You own or have the necessary rights to grant the license described above
• Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
• Your User Content does not contain any defamatory, libelous, or otherwise unlawful material

We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor User Content, but we may do so at our discretion.

Disclaimers and Limitation of Liability

Disclaimer of Warranties: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability: To the fullest extent permitted by applicable law, in no event shall JoyBox Company Limited, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.

In no event shall our total liability to you for all damages exceed the amount you paid to us in the twelve (12) months prior to the action giving rise to the liability, or one hundred dollars ($100), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless JoyBox Company Limited, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

Dispute Resolution

If you have any dispute with us, you agree to first contact us at contact@joybox.digital and attempt to resolve the dispute informally.

If we cannot resolve the dispute informally, you and JoyBox agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Services through binding arbitration, except that either party may bring claims in small claims court if the claims qualify.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and JoyBox each waive any right to a jury trial.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which JoyBox Company Limited is incorporated, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services and supersede and replace any prior agreements we might have between us regarding the Services.
